The agreement between you and Braxby.

This is a contract, so parts of it read like one. The three things worth knowing before you scroll: Braxby tells you about events but never sells you a ticket — every purchase is with someone else, under their terms. Braxby is written by an AI and can be wrong — check anything before you spend money on it. And a paid subscription renews until you cancel it, which you can do at any moment, in the app.

1Who you are agreeing with

These Terms of Service are an agreement between you and Braxby LLC, a limited liability company organised in the Commonwealth of Massachusetts, United States ("Braxby", "we", "us"). They govern your use of the Braxby website, web application and mobile apps (together, the "Service").

By creating an account or using the Service, you accept these terms and our Privacy Policy, which is part of this agreement. If you do not accept them, do not use the Service.

2Eligibility

You must be at least 18 years old and able to form a binding contract. You may not use the Service if we have previously terminated your account, or if the law where you are prohibits it.

3Your account

You sign in through Google, Microsoft or Apple; we do not issue passwords. Keep that sign-in secure — anyone with access to it has access to your Braxby account. Tell us promptly at concierge@braxby.com if you believe your account has been compromised. One account is for one person; do not share it.

You are responsible for what happens under your account, and for the accuracy of what you tell us.

4What Braxby does

Braxby is a personal events concierge. With your permission it reads your calendar, and optionally your mail and your listening history, builds a private model of your taste, detects when you are travelling, and tells you about events you are likely to care about — including watching for tickets that are not on sale yet.

It is a discovery and information service. It is not a ticket seller, a booking agent, a travel agent, or a source of professional advice.

5What Braxby is not

We do not sell tickets, and we are not party to your purchase. When Braxby shows you an event, it links you to the venue, promoter, ticket seller or restaurant. Any transaction is between you and that third party, under their terms and their refund policy. We are not the merchant of record, we do not hold your booking, we take no payment for it, and we cannot change, refund or cancel it.

It follows that we are not responsible for: whether an event happens, is postponed, moved or cancelled; ticket availability, allocation or pricing; the accuracy of event details published by a third party; the conduct of any venue, promoter or seller; or the quality of anything you attend. If a third party lets you down, your remedy is with them.

Event information reaches us from external sources and is often wrong, stale or incomplete through no fault of ours. Treat what Braxby shows you as a prompt to check, not as a guarantee. Always confirm dates, times, venues, prices and age restrictions with the official seller before you commit money or travel.

6AI output

Braxby's messages, summaries, recommendations and event descriptions are generated by AI models. They can be inaccurate, incomplete or wrong in ways that read perfectly confidently. They are provided for your convenience and are not advice of any kind.

Braxby may also add an event to your calendar or arm a watch on your instruction. You remain responsible for reviewing what it did — every such action is shown to you with an undo — and for anything you rely on it for.

7Connected accounts

By connecting Google, Microsoft, Apple iCloud or Spotify, you authorise us to access that account as described in the Privacy Policy, and you confirm you are entitled to grant that access. Your use of each of those services remains governed by its own terms.

You can disconnect any source at any time, in the app or from the provider's own security settings. Braxby is designed to keep working with fewer sources connected — it will simply know less. We are not responsible for a third-party provider changing, restricting or withdrawing its API, which may remove a feature at any time.

9Plans, billing and cancellation

The plans

Prices are in US dollars and exclude any sales tax or VAT, which is calculated and added at checkout where it applies. We may change what each plan includes; if we materially reduce what you are paying for, we will tell you first and you may cancel.

The trial

Pro starts with a 28-day free trial. We will remind you before it ends. Cancel any time before the trial is up and you are charged nothing — you move to Free, and everything Braxby has learned about you stays exactly where it is. If you do not cancel, the subscription begins at the end of the trial and the first charge is taken then. One trial per person.

Renewal and cancellation

Subscriptions renew automatically each month or year until you cancel. You can cancel at any time from the billing portal in the app. Cancellation takes effect at the end of the period you have already paid for — you keep Pro until then, and are not charged again.

Cancelling does not delete anything. Your taste model, trips and history remain; you move to the Free plan. Deleting your account is separate and is described in the Privacy Policy.

Refunds

If you are unhappy, ask us within 14 days of a charge and we will refund it, no questions asked. Outside that window, payments are non-refundable except where the law requires otherwise. Founding pricing, once lost through cancellation, may not be available again.

Payment

Payments are processed by Stripe. We never receive or store your card number. If a payment fails we may retry it and may suspend Pro features until it clears. We may change our prices with at least 30 days' notice before the change applies to your next renewal.

10Affiliate links

We may earn a commission when you buy through a link Braxby showed you. It costs you nothing — the price is the same as going direct — and it does not change our answer to the only question that matters, which is whether you would want to know about the event.

We disclose this because you should not have to discover it. Affiliate relationships do not create any responsibility on our part for the seller's goods, service or conduct; section 5 applies in full.

11Intellectual property

The Service, including its software, design, brand, name and logo, belongs to Braxby LLC. These terms grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service for your own personal, non-commercial purposes. Nothing else is granted.

Content you provide — your messages, preferences and connected-account data — remains yours. You grant us only the licence needed to operate the Service for you: to process, store and display it back to you as described in the Privacy Policy. We do not use it to train AI models. Event listings and third-party content belong to their respective owners.

If you send us feedback or a suggestion, we may use it freely and without obligation to you.

12Suspension and termination

You may stop using the Service at any time, and delete your account from the app.

We may suspend or terminate your account if you breach these terms, if your use puts the Service or other users at risk, or if we are required to by law. Where it is reasonable to do so we will tell you why and give you a chance to put it right. If we terminate an active subscription other than for a breach by you, we will refund the unused portion of the period you paid for.

We may also discontinue the Service entirely. If we do, we will give reasonable notice, refund any unused prepaid period, and give you a chance to export your data first.

13Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, timely, secure or error-free; that event information will be accurate or complete; that a watch will always fire, or fire in time; or that a notification will be delivered. Braxby depends on third-party APIs, and when one of them fails or changes, part of the Service may fail with it.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

14Limitation of liability

To the fullest extent permitted by law, neither Braxby LLC nor anyone working with us will be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost opportunities, lost data, or the cost of substitute services — including, specifically, any event you missed, any ticket you did not get, and any travel or expense you incurred in reliance on the Service.

Our total liability for all claims relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim arose, or one hundred US dollars ($100).

Nothing here excludes liability that cannot be excluded by law, including for fraud or for death or personal injury caused by negligence. Some jurisdictions do not allow some of these limits, so parts of this section may not apply to you.

15Indemnity

You agree to indemnify and hold harmless Braxby LLC and its members, officers and contractors from any claim, loss or expense (including reasonable legal fees) arising from your misuse of the Service, your breach of these terms, or your violation of any law or third-party right.

16Changes to these terms

We may update these terms. If a change is material we will give you reasonable notice — in the app or by email — before it takes effect, and the date at the top of this page will change. Continuing to use the Service after that means you accept the new terms. If you do not, cancel and stop using the Service, and we will refund any unused prepaid period.

17Governing law and disputes

These terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict-of-laws rules. You and we agree to the exclusive jurisdiction of the state and federal courts located in Massachusetts, and each of us waives any objection to venue there. If you are a consumer resident elsewhere, this does not deprive you of the protection of mandatory consumer law where you live.

Talk to us first. If something goes wrong, email concierge@braxby.com and give us 30 days to put it right. Most things are a misunderstanding, and none of them are improved by a court.
